Belden (BDC) announced that it has completed its acquisition of RUCKUS Networks from Vistance Networks (VISN). RUCKUS' leading enterprise networking portfolio, including industry-leading Wi-Fi, enterprise switching capabilities and AI driven network management platforms, make Belden a preeminent provider of complete, end-to-end IT/OT networking solutions. The acquisition materially expands the combined organization's addressable market and capitalizes on a significant industrial opportunity while delivering compelling enhancements to Belden's financial profile.

Vistance Networks (VISN) announced the closing of the transaction to sell its RUCKUS Networks business to Belden Corporation (BDC). The Company previously announced the signing of a definitive agreement for the transaction on April 30. After paying taxes, fees and expenses associated with the transaction, the Company expects to receive net proceeds of approximately $1.75B. The Company expects to distribute a significant portion of the net proceeds to shareholders as a dividend within 60 days of transaction closing. The exact amount and timing of the distribution will be determined by the Board after taking into account all relevant factors.
