Global Interactive Technologies announced that it has entered into a securities purchase agreement with an institutional investor to purchase 1,092,896 shares of common stock and 1,092,896 accompanying warrants. The combined purchase price of one share of common stock and one accompanying warrant to purchase one share of common stock is $1.83, or the "Minimum Price," pursuant to Nasdaq Rule 5635(d) as of June 25, 2026. The combined purchase price of one pre-funded warrant and one accompanying warrant to purchase one share of common stock is $1.829. The warrants will be exercisable on the six-month anniversary of their issuance, have an exercise price of $1.83 per share and a term of 5.5 years. The gross proceeds from the offering are expected to be approximately $2.0 million, before deducting commissions and expenses of the offering. The closing of the offering is expected to occur on or about June 26, 2026, subject to the satisfaction of customary closing conditions. D. Boral Capital LLC is acting as exclusive placement agent for the offering.

Global Interactive Technologies received a delinquency compliance alert letter from the Listing Qualifications Department of The Nasdaq Stock Market advising the Company that, because the Company did not timely file its Annual Report on Form 10-K for the year ended December 31, 2025 with the Securities and Exchange Commission, the Company is not in compliance with Nasdaq's continued listing requirements under Nasdaq Listing Rule 5250(c)(1), which requires the timely filing of all required periodic reports with the SEC. Under Nasdaq rules, the Company has 60 calendar days from the date of the Nasdaq notification letter to submit to Nasdaq a plan to regain compliance with Nasdaq Listing Rule 5250(c)(1). The Company expects to file the Form 10-K promptly to regain compliance with Nasdaq Listing Rule 5250(c)(1). The Company's common stock will continue to be listed and traded on The Nasdaq Stock Market during the 60-day grace period, subject to the Company's compliance with Nasdaq's other continued listing requirements.

Global Interactive Technologies entered into definitive agreements with K-pop star Kang Daniel for the production and performance of official theme songs for the upcoming animated feature, The Legend of MegaRace. Pursuant to the agreements, GITS has acquired ownership and control of the master recordings, along with worldwide distribution and usage rights for each song. GITS will oversee global release strategies and the commercial rollout of the official soundtrack across both digital and physical platforms. In connection with the planned release of The Legend of MegaRace, select promotional materials related to the additional theme songs are expected to be distributed through Faning, GITS's global fandom platform.

Global Interactive Technologies has come to an agreement with K-pop group ATEEZ regarding the production and performance of the official theme song for the upcoming animated feature The Legend of MegaRace. Under the agreement, GITS has acquired full ownership and complete control of the master recordings, along with worldwide distribution, usage, and commercial exploitation rights tied to the theme song. Through this deal, GITS will oversee global release strategies, soundtrack distribution, and licensing activities across digital and physical platforms. In connection with the global release of The Legend of MegaRace, GITS plans to roll out an international promotional campaign centered around ATEEZ's participation. Promotional content, including official music-related materials and behind-the-scenes footage, will be distributed through Faning, GITS's global fandom platform.
