Laser Photonics announced that, at a special meeting of stockholders held on June 26, its stockholders approved each of the Company's previously disclosed Warrant Inducement Agreements, dated March 15 and April 26. Under the terms of the Warrant Inducement Agreements, the new Series A-5 and Series A-6 common stock purchase warrants issued to participating holders were exercisable only on or after the date the Company obtained stockholder approval, as required under applicable Nasdaq listing rules. With stockholder approval now obtained, the condition to exercise contained in the Series A-5 and Series A-6 warrants has been satisfied, and those warrants are now exercisable in accordance with their respective terms. As of the close of business on May 13, the record date for the special meeting, 38,568,263 shares of the Company's common stock, par value $0.001 per share, were outstanding and entitled to vote. Holders of 14,300,930 shares, or approximately 37.08% of the shares outstanding and entitled to vote, were represented at the meeting in person or by proxy.

Laser Photonics provided a corporate update for shareholders covering a temporary leadership transition and the Company's continued execution across its defense and industrial growth initiatives. The Company continues to advance its Laser Shield Anti-Drone System, LSAD. The Company is developing a range of products covering laser dazzlers, directed-energy weapon systems. In parallel, the LASE Group of Companies has registered the Quantum Bullet trademark and expects to market a new generation of directed-energy products under the brand. Laser Photonics is planning to expand its horizon in electro-optical and quantum photonic components in building deep expertise in nonlinear optical crystals and the Pockels effect. As previously disclosed in the Company's Current Report on Form 8-K, Chief Executive Officer Wayne Tupuola is taking a temporary leave of absence of approximately three months for health reasons. To ensure continuity of leadership of the Company's strategy, the Board of Directors has appointed Ann Tewari, the Company's Executive Vice President of Global Operations and Strategy, as Interim President.

Laser Photonics, together with Fonon Technologies, an affiliated company within the LASE Group of Companies, announced that Fonon's solution brief submitted to the U.S. Special Operations Command, SOC, has been evaluated by the USSOCOM Joint Acquisition Task Force and recognized as having the potential to help address the Command's current and future mission requirements.

Laser Photonics Corporation, along with Fonon Technologies, introduced a fully automated laser processing solution for the avionics and military electronics sectors, delivering high-precision stripping, marking, and cutting of wires and busbars. The computer-controlled system streamlines complex wire harness production by measuring, marking, stripping, and cutting wires in a single continuous process. Fully compliant with SAE Aerospace and military MIL-SPEC standards, the technology uses non-contact laser ablation to protect underlying metal conductors from damage.
