Wallbox "announced that the New York Stock Exchange has accepted the Company's previously submitted plan to regain compliance with the NYSE continued listing standards. As previously announced, Wallbox received written notice from the NYSE on February 12, 2026, indicating that the Company was not in compliance with Section 802.01B of the NYSE Listed Company Manual, relating to the Company's average global market capitalization and total stockholders' equity. Following its review, the NYSE accepted Wallbox's plan and confirmed that it is prepared to continue the listing of the Company at this time. Wallbox will now be given an 18-month cure period from the date of the Notice to regain conformity with continued listing standards by having stockholders' equity of at least $50 million or by having an average global market capitalization over a consecutive 30 trading-day period of $50 million. The NYSE will perform semi-annual reviews during the plan period for compliance with the goals and initiatives outlined in the Company's plan. During the plan period, Wallbox's Class A ordinary shares will continue to be listed and traded on the NYSE, subject to the Company's compliance with the plan, ongoing NYSE review, and continued compliance with other applicable NYSE listing standards, including the timely payment of all listing and annual fees owed to the NYSE."

Wallbox announced the completion of the conditions for the effectiveness of its financial restructuring, including the completion of an approximately EUR11.8M equity raise, as well as a separate EUR 4M investment by FOCUS, the investment company through which Rafael Ruiz channels his industrial holdings. The approximately EUR11.8M equity raise represents the completion of the equity financing contemplated under the company's restructuring plan. It includes the previously announced EUR10.65M equity financing, together with approximately EUR1.1M resulting from the capitalization of the original issue discount and paid-in-kind interest accrued under the bridge loan entered in April 2026 with the relevant shareholders. The transaction included the participation of Wallbox's reference shareholders and the previously announced EUR5M investment by the Generalitat de Catalunya, through IFEM. In a separate transaction, FOCUS completed a EUR4M investment in Wallbox, joining the company as a new shareholder. Following the expiration of the applicable objection and appeal periods without any challenges being filed, the court approval of the restructuring plan is now final and non-appealable.

Wallbox has received approximately EUR10.5M funds through Canada's clean fuel credit framework for the Year 2025. The funds were generated through eligible EV charging activity from Wallbox AC chargers installed across Canada and connected to the company's digital platform. Under Canada's clean fuel regulation, charging sessions that support the displacement of fossil fuels by electricity can generate credits linked to the reduction of transport-related emissions. The funds received by Wallbox will be reinvested in the region through incentives and initiatives designed to support and accelerate EV adoption.
